Scope and Applicability<\/h2>\n<h3 data-start=\"501\" data-end=\"520\">Geltungsbereich<\/h3>\n<p data-start=\"522\" data-end=\"759\"><strong data-start=\"522\" data-end=\"528\">EN<\/strong><br data-start=\"528\" data-end=\"531\" \/>These Sales and License Terms (\u201cTerms\u201d) apply to all sales, deliveries, and licenses of hardware products, sensors, software, and related services (\u201cProducts\u201d) provided by Envita AS (\u201cEnvita\u201d) to business customers (\u201cCustomer\u201d).<\/p>\n<p data-start=\"761\" data-end=\"869\">Conflicting or deviating terms of the Customer shall not apply unless expressly agreed in writing by Envita.<\/p>\n<p data-start=\"871\" data-end=\"1152\"><strong data-start=\"871\" data-end=\"877\">DE<\/strong><br data-start=\"877\" data-end=\"880\" \/>Diese Allgemeinen Verkaufs- und Lizenzbedingungen (\u201eAGB\u201c) gelten f\u00fcr alle Lieferungen, Leistungen und Lizenzen von Hardware-Produkten, Sensoren, Software sowie damit zusammenh\u00e4ngenden Dienstleistungen (\u201eProdukte\u201c) der Envita AS (\u201eEnvita\u201c) gegen\u00fcber Unternehmern (\u201eKunde\u201c).<\/p>\n<p data-start=\"1154\" data-end=\"1309\">Abweichende oder entgegenstehende Bedingungen des Kunden finden keine Anwendung, sofern Envita ihrer Geltung nicht ausdr\u00fccklich schriftlich zugestimmt hat.<\/p>\n<hr data-start=\"1311\" data-end=\"1314\" \/>\n<h2 data-start=\"1316\" data-end=\"1345\"><\/h2>\n<h2 data-start=\"1316\" data-end=\"1345\">2. Products and Services<\/h2>\n<h3 data-start=\"1890\" data-end=\"1904\">Leistungen<\/h3>\n<p data-start=\"1906\" data-end=\"2086\"><strong data-start=\"1906\" data-end=\"1912\">EN<\/strong><br data-start=\"1912\" data-end=\"1915\" \/>Envita provides hardware sensors, access to cloud-based software and analytics platforms, and optional services such as installation support, data analysis, or consulting.<\/p>\n<p data-start=\"2088\" data-end=\"2167\">The scope of services is defined in the respective offer or order confirmation.<\/p>\n<p data-start=\"2169\" data-end=\"2364\"><strong data-start=\"2169\" data-end=\"2175\">DE<\/strong><br data-start=\"2175\" data-end=\"2178\" \/>Envita liefert Hardware-Sensoren, Zugang zu cloudbasierter Software und Analyseplattformen sowie optionale Dienstleistungen wie Installationsunterst\u00fctzung, Datenauswertung oder Beratung.<\/p>\n<p data-start=\"2366\" data-end=\"2463\">Der konkrete Leistungsumfang ergibt sich aus dem jeweiligen Angebot oder der Auftragsbest\u00e4tigung.<\/p>\n<hr data-start=\"2465\" data-end=\"2468\" \/>\n<h2 data-start=\"2470\" data-end=\"2503\"><\/h2>\n<h2 data-start=\"2470\" data-end=\"2503\">4. License and Permitted Use<\/h2>\n<h3 data-start=\"2504\" data-end=\"2536\">Lizenz und zul\u00e4ssige Nutzung<\/h3>\n<h3 data-start=\"2538\" data-end=\"2564\">4.1 Software License<\/h3>\n<p data-start=\"2565\" data-end=\"2771\"><strong data-start=\"2565\" data-end=\"2571\">EN<\/strong><br data-start=\"2571\" data-end=\"2574\" \/>Envita grants the Customer a non-exclusive, non-transferable, limited license to use the software solely for the Customer\u2019s internal business purposes, subject to an active license or subscription.<\/p>\n<p data-start=\"2773\" data-end=\"3012\"><strong data-start=\"2773\" data-end=\"2779\">DE<\/strong><br data-start=\"2779\" data-end=\"2782\" \/>Envita gew\u00e4hrt dem Kunden eine nicht-ausschlie\u00dfliche, nicht \u00fcbertragbare, zeitlich begrenzte Lizenz zur Nutzung der Software ausschlie\u00dflich f\u00fcr eigene betriebliche Zwecke, vorbehaltlich einer aktiven Lizenz oder eines Abonnements.<\/p>\n<hr data-start=\"3014\" data-end=\"3017\" \/>\n<h3 data-start=\"3019\" data-end=\"3041\"><\/h3>\n<h3 data-start=\"3019\" data-end=\"3041\">4.2 Sensor Usage<\/h3>\n<p data-start=\"3042\" data-end=\"3171\"><strong data-start=\"3042\" data-end=\"3048\">EN<\/strong><br data-start=\"3048\" data-end=\"3051\" \/>Each sensor may only be actively used at one site or end-customer location at a time, unless expressly agreed otherwise.<\/p>\n<p data-start=\"3173\" data-end=\"3291\">Permanent or recurring commercial use of a sensor for multiple end customers requires a separate license or agreement.<\/p>\n<p data-start=\"3293\" data-end=\"3467\"><strong data-start=\"3293\" data-end=\"3299\">DE<\/strong><br data-start=\"3299\" data-end=\"3302\" \/>Jeder Sensor darf jeweils nur an einem Standort bzw. bei einem Endkunden gleichzeitig aktiv genutzt werden, sofern nicht ausdr\u00fccklich etwas anderes vereinbart wurde.<\/p>\n<p data-start=\"3469\" data-end=\"3612\">Eine dauerhafte oder wiederkehrende kommerzielle Nutzung eines Sensors bei mehreren Endkunden erfordert eine separate Lizenz oder Vereinbarung.<\/p>\n<hr data-start=\"3614\" data-end=\"3617\" \/>\n<h3 data-start=\"3619\" data-end=\"3650\"><\/h3>\n<h3 data-start=\"3619\" data-end=\"3650\">4.3 Demo \/ Evaluation Use<\/h3>\n<p data-start=\"3651\" data-end=\"3758\"><strong data-start=\"3651\" data-end=\"3657\">EN<\/strong><br data-start=\"3657\" data-end=\"3660\" \/>Demo or evaluation use is time-limited, non-commercial, and does not replace a production license.<\/p>\n<p data-start=\"3760\" data-end=\"3942\"><strong data-start=\"3760\" data-end=\"3766\">DE<\/strong><br data-start=\"3766\" data-end=\"3769\" \/>Eine Nutzung zu Demonstrations- oder Testzwecken ist zeitlich begrenzt, nicht f\u00fcr den dauerhaften kommerziellen Einsatz bestimmt und ersetzt keine produktive Nutzungslizenz.<\/p>\n<hr data-start=\"3944\" data-end=\"3947\" \/>\n<h2 data-start=\"3949\" data-end=\"3969\"><\/h2>\n<h2 data-start=\"3949\" data-end=\"3969\">5. Restrictions<\/h2>\n<h3 data-start=\"3970\" data-end=\"3996\">Nutzungsbeschr\u00e4nkungen<\/h3>\n<p data-start=\"3998\" data-end=\"4260\"><strong data-start=\"3998\" data-end=\"4004\">EN<\/strong><br data-start=\"4004\" data-end=\"4007\" \/>Unless expressly agreed, the Customer shall not resell, sublicense, rent, or lease the software, use one sensor as a permanent monitoring solution for multiple end customers, circumvent usage limitations, or remove identification or tracking mechanisms.<\/p>\n<p data-start=\"4262\" data-end=\"4586\"><strong data-start=\"4262\" data-end=\"4268\">DE<\/strong><br data-start=\"4268\" data-end=\"4271\" \/>Sofern nicht ausdr\u00fccklich vereinbart, ist es dem Kunden untersagt, die Software weiterzuverkaufen, zu unterlizenzieren, zu vermieten oder zu verleihen, einen einzelnen Sensor dauerhaft f\u00fcr mehrere Endkunden einzusetzen, Nutzungsbeschr\u00e4nkungen zu umgehen oder Identifikations- bzw. Tracking-Mechanismen zu entfernen.<\/p>\n<hr data-start=\"4588\" data-end=\"4591\" \/>\n<h2 data-start=\"4593\" data-end=\"4635\"><\/h2>\n<h2 data-start=\"4593\" data-end=\"4635\">6. Partner and Reseller Relationships<\/h2>\n<h3 data-start=\"4636\" data-end=\"4673\">Partner- und Reseller-Beziehungen<\/h3>\n<p data-start=\"4675\" data-end=\"4845\"><strong data-start=\"4675\" data-end=\"4681\">EN<\/strong><br data-start=\"4681\" data-end=\"4684\" \/>Customers acting as resellers, energy managers, consultants, or integrators are subject to a separate Partner Agreement, which shall prevail in case of conflict.<\/p>\n<p data-start=\"4847\" data-end=\"5047\"><strong data-start=\"4847\" data-end=\"4853\">DE<\/strong><br data-start=\"4853\" data-end=\"4856\" \/>Kunden, die als Wiederverk\u00e4ufer, Energieberater, Integratoren oder vergleichbare Partner auftreten, unterliegen einem separaten Partnervertrag, der im Konfliktfall Vorrang vor diesen AGB hat.<\/p>\n<hr data-start=\"5049\" data-end=\"5052\" \/>\n<h2 data-start=\"5054\" data-end=\"5080\"><\/h2>\n<h2 data-start=\"5054\" data-end=\"5080\">7. Prices and Payment<\/h2>\n<h3 data-start=\"5081\" data-end=\"5103\">Preise und Zahlung<\/h3>\n<p data-start=\"5105\" data-end=\"5257\"><strong data-start=\"5105\" data-end=\"5111\">EN<\/strong><br data-start=\"5111\" data-end=\"5114\" \/>Prices are net of VAT. Invoices are payable within 14 days unless otherwise agreed. Envita may suspend software access in case of late payment.<\/p>\n<p data-start=\"5259\" data-end=\"5463\"><strong data-start=\"5259\" data-end=\"5265\">DE<\/strong><br data-start=\"5265\" data-end=\"5268\" \/>Alle Preise verstehen sich netto zuz\u00fcglich Umsatzsteuer. Rechnungen sind innerhalb von 14 Tagen zahlbar, sofern nicht anders vereinbart. Bei Zahlungsverzug kann Envita den Softwarezugang sperren.<\/p>\n<hr data-start=\"5465\" data-end=\"5468\" \/>\n<h2 data-start=\"5470\" data-end=\"5507\"><\/h2>\n<h2 data-start=\"5470\" data-end=\"5507\">8. Delivery and Transfer of Risk<\/h2>\n<h3 data-start=\"5508\" data-end=\"5540\">Lieferung und Gefahr\u00fcbergang<\/h3>\n<p data-start=\"5542\" data-end=\"5659\"><strong data-start=\"5542\" data-end=\"5548\">EN<\/strong><br data-start=\"5548\" data-end=\"5551\" \/>Delivery dates are estimates unless agreed as binding. Risk passes upon delivery to the carrier or Customer.<\/p>\n<p data-start=\"5661\" data-end=\"5835\"><strong data-start=\"5661\" data-end=\"5667\">DE<\/strong><br data-start=\"5667\" data-end=\"5670\" \/>Liefertermine sind unverbindlich, sofern sie nicht ausdr\u00fccklich als verbindlich vereinbart wurden. Die Gefahr geht mit \u00dcbergabe an den Transporteur oder Kunden \u00fcber.<\/p>\n<hr data-start=\"5837\" data-end=\"5840\" \/>\n<h2 data-start=\"5842\" data-end=\"5858\"><\/h2>\n<h2 data-start=\"5842\" data-end=\"5858\">9. Warranty<\/h2>\n<h3 data-start=\"5859\" data-end=\"5877\">Gew\u00e4hrleistung<\/h3>\n<p data-start=\"5879\" data-end=\"6039\"><strong data-start=\"5879\" data-end=\"5885\">EN<\/strong><br data-start=\"5885\" data-end=\"5888\" \/>Envita warrants that the Products conform to specifications at delivery. Defects must be reported without undue delay. Remedy is repair or replacement.<\/p>\n<p data-start=\"6041\" data-end=\"6258\"><strong data-start=\"6041\" data-end=\"6047\">DE<\/strong><br data-start=\"6047\" data-end=\"6050\" \/>Envita gew\u00e4hrleistet, dass die Produkte bei Lieferung den vereinbarten Spezifikationen entsprechen. M\u00e4ngel sind unverz\u00fcglich anzuzeigen. Die M\u00e4ngelbeseitigung erfolgt durch Nachbesserung oder Ersatzlieferung.<\/p>\n<hr data-start=\"6260\" data-end=\"6263\" \/>\n<h2 data-start=\"6265\" data-end=\"6283\"><\/h2>\n<h2 data-start=\"6265\" data-end=\"6283\">10. Liability<\/h2>\n<h3 data-start=\"6284\" data-end=\"6295\">Haftung<\/h3>\n<p data-start=\"6297\" data-end=\"6432\"><strong data-start=\"6297\" data-end=\"6303\">EN<\/strong><br data-start=\"6303\" data-end=\"6306\" \/>Envita is liable for intent and gross negligence. Bei einfacher Fahrl\u00e4ssigkeit ist die Haftung auf vorhersehbare, vertragstypische Sch\u00e4den begrenzt.<\/p>\n<hr data-start=\"6612\" data-end=\"6615\" \/>\n<h2 data-start=\"6617\" data-end=\"6647\"><\/h2>\n<h2 data-start=\"6617\" data-end=\"6647\">11.
